20. Export of Information, Goodwill and Property
20.1 Supplier understands and agrees that Content which has been uploaded or otherwise placed by Supplier on the Platform or otherwise made accessible by Supplier to Users is the sole and exclusive property of Supplier and that Supplier has no obligation or liability to use such Content or create any derivative works therefrom. However, for identification and tracking purposes, Supplier shall have the right to save and store certain Content.
20.2 Supplier shall retain for its own use all such Content and grant to Users a non-exclusive, non-transferable, royalty-free, perpetual, irrevocable right to use the same in accordance with these Terms. Subject to clause 20.3 Supplier shall not have the right to re-distribute, commercially exploit or sub-licence the same for any purpose whatsoever.
20.3 Subject to Supplier having the right under clause 20.2 above to use the Content, Supplier shall not be permitted to use the Content commercially in any way in contravention of these Terms and Supplier shall not have the right to:
20.3.1 sub-license any of the Content; or
20.3.2 create a version of the Content that includes any of the Content in a manner that is not consistent with the purpose of Supplier of using the Content commercially (the purposes of which are to promote sales of Products and service offerings to Customers by Supplier and to generate revenue for Supplier).
20.4 Supplier understands and agrees that the use of Content is solely for purposes of use by Supplier in connection with the Platform.
20.5 Supplier shall not be permitted to use or incorporate any Content in any goods or services offered or sold to Customers or in any other way in contravention of these Terms.
20.6 These Terms shall not be deemed as transferring any right or interest in Supplier’s Content or any Content that is owned by Supplier’s licensors. Any transfer of right or interest in such Content shall require Supplier’s prior written consent, which shall not be unreasonably withheld, provided that Supplier has no obligations to use any such Content commercially in violation of these Terms or that Supplier is not obligated to grant Supplier any license to any such Content. Supplier shall be entitled to use and incorporate the Content that is protected by copyright and other intellectual property rights in its sole discretion and without restriction or obligation to Supplier.
21. Indemnity
21.1 Supplier shall indemnify and keep harmless Poncho and Poncho’s properties from and against all claims, demands, liabilities, actions, proceedings, costs, fees, expenses and amounts payable under or in connection with any provision of these Terms, or in any way connected therewith, and shall defend, indemnify and hold Poncho harmless from and against all of the foregoing as more particularly described in this Section.
21.2 At its own cost and expense, Poncho may select one legal representative to defend and/or settle any suit, action, demand or claim brought or threatened against Poncho or its properties or against Poncho’s users, in connection with or arising out of the Content, the Services or any Content supplied by Supplier or the Platform, its usage or Services.
